Image License Agreement

1. Grant of License

By downloading an image from ND|Visuals, you are granted a non-exclusive, non-transferable license to use the image according to the terms set forth in this Agreement. This license is granted by Noah DeYoung, the copyright owner of the images.

Important: You must accept this License Agreement before downloading any image, whether free or paid. By proceeding with the download, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

2. Permitted Uses

Subject to the restrictions below, you may use downloaded images for both commercial and personal projects, including:

• Commercial advertising and marketing campaigns
• Personal creative projects
• Print and digital media (magazines, books, websites, blogs)
• Marketing and advertising materials (brochures, flyers, presentations)
• Websites and social media content
• Editorial content and news articles
• Product packaging and labeling
• Modifications and adaptations (creating derivative works, editing, cropping, color adjustments)
• Client work and commissioned projects

Important: This license applies to both free and paid images downloaded from ND|Visuals. You must accept this License Agreement before downloading any image.

3. Prohibited Uses

You may NOT use images for:

• Resale as Stock Photography: Reselling, redistributing, or sublicensing the image itself as stock photography, templates, digital assets, or similar products
• Standalone Products: Using images in products for resale where the image is the primary value (e.g., posters, prints, calendars, greeting cards, postcards, wall art, t-shirts, mugs, or other merchandise featuring primarily the image)
• Illegal or Harmful Content: Use in defamatory, libelous, illegal, or harmful content
• Rights Violations: Use that violates the rights of others, including privacy rights or publicity rights of individuals depicted
• Offensive Content: Use in pornographic, obscene, or offensive content
• False Endorsement: Use that suggests endorsement, affiliation, or sponsorship by Noah DeYoung or ND|Visuals without explicit written permission
• Removal of Markings: Removal of copyright notices, watermarks, or other proprietary markings from downloaded images
• Trademark Use: Use in trademarks, service marks, logos, or brand identities without obtaining an additional extended license (contact us for licensing options)
• Competitive Services: Use in competing photography or stock image services

4. Attribution Requirements

Attribution is not required for most uses, but we greatly appreciate credit when possible. If you choose to provide attribution, please use one of the following formats:

• "Photo by Noah DeYoung / ND|Visuals"
• "© Noah DeYoung"
• "Image by Noah DeYoung"

While attribution is optional, it helps support our work and is always appreciated.

5. Transfer Restrictions

This license is non-transferable. You may not sublicense, sell, rent, lease, or otherwise transfer the image or the rights granted under this Agreement to any third party. However, you may transfer the image as part of a larger work (e.g., a website, brochure, or video) that incorporates the image.

6. Copyright and Ownership

All images remain the property of Noah DeYoung. This Agreement grants you a license to use the image; it does not transfer ownership. You do not acquire any copyright or other intellectual property rights in the image.

The default copyright for all images is "Noah DeYoung" unless otherwise specified in the image metadata.

7. Termination

This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any term of this Agreement. Upon termination, you must immediately stop using the image and destroy all copies.

8. Warranty Disclaimers

THE IMAGE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the image will meet your requirements or that the use of the image will be uninterrupted or error-free.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOAH DEYOUNG AND ND|VISUALS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE IMAGE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to indemnify and hold harmless Noah DeYoung and ND|Visuals from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or relating to your use of the image in violation of this Agreement.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising from or relating to this Agreement or the licensed images shall be subject to the exclusive jurisdiction of the courts located in Florida.

12. Entire Agreement

This Agreement constitutes the entire agreement between you and Noah DeYoung regarding the use of the image and supersedes all prior agreements and understandings.
